    			  Agreement to Waive Liability
    
         THIS AGREEMENT is made this __________ day of ___________________,
         1997, by and between Internet Security Corporation (We), having
         registered agency offices at 3511 Silverside Road, Suite #105
         Wilmington, DE 19810, and (your company)
         ___________________________________ (You).
    
         WHEREAS, We are being engaged to perform a Network Security
         Certification for You, having offices at
         ____________________________________________________ to inspect
         network routers, firewalls, and related systems which will involve
         electronic examination; and
    
         WHEREAS, the examination We perform for You will or might involve
         disruption of your network services which should be defined;
    
    	  NOW THEREFORE, the parties agree as follows:
    
    	   1. Network Security Certification requires a comprehensive but
    	      condensed suite of surveillance techniques that would be
    	      employed by criminals, vandals, or intruders.  We must, in a
    	      few hours, accomplish what would otherwise occupy periods of
    	      days, weeks, or even months.  The electronic examination
    	      necessarily involves techniques that would ordinarily be 
              considered unwelcome or hostile by You: 
    		(1) There are statutory prohibitions against electronic
    		intrusion.
    		(2) We are unaware of the composition of Your network or
    		services.
    		(3) We, in the course of our work, could disrupt or
    		overload Your network.
    
    	   2. We agree to exercise utmost care to avoid any harm to Your
    	      network, its components, or content.  You understand that
    	      without comprehensive knowledge of Your network, its
    	      components, and contents, We can not guarantee that there
    	      will be no inadvertant or accidental damage or disruption of
    	      them.
    
    	   3. You, implicitly by this agreement and explicitly by this
    	      paragraph, grant Us permission to electronically examine your
    	      network.	This permission is restricted to the examination
    	      for Network Security Certification, We are not authorized any

    	      access to Your network at any other time or for any other
    	      purpose.
    
    	   4. You agree to defend, indemnify, and hold Us harmless from and
    	      against any civil or criminal action alleging that We have
    	      made an unauthorized intrusion into Your network whether that
    	      allegation is made by You or another party (e.g. Internet
    	      Service Provider, law enforcement agency).
    
    	   5. We agree to engage in no criminal or malicious activity and
    	      waive the above indemnification if we do.
    
    	   6. We agree to limit disclosure of the results of the Network
    	      Security Certification to only those agencies or personnel
    	      You have authorized.
    
    	   7. The Scope of Indemnification and Non-Disclosure provisions of
    	      this agreement shall continue for a period of two (2) years
    	      from the conclusion of Our electronic research.  Permission
    	      to access your network resources shall expire two (2) hours
    	      after We report the conclusion of our electronic research.
    
         IN WITNESS WHEREOF, the parties, effective the date first above
         written, have caused this Agreement to be executed by their authorized
         representatives.
